Software License All sales are final. Please try the software free for 30 days before purchasing. Refunds are not provided. Understanding how to operate and maintain a computer is required. Please read "Learning to Use the Studio Organizer" in the School Setup and Guided Tour tutorials. PLEASE READ THIS SOFTWARE LICENSE AGREEMENT "LICENSE" CAREFULLY BEFORE INSTALLING OR USING THE STUDIO ORGANIZER, "THE SOFTWARE." BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, INSTALLATION AND USE OF THIS SOFTWARE IS PROHIBITED. 1. Acceptance and License. Use of the Studio Organizer is subject to the StudioOrganizer.com's acceptance. The StudioOrganizer.com reserves the right to deny any person or company, at it's sole discretion. The software is licensed, not sold, to you by the Studio Organizer.com. You own the media on which the Software is recorded but the Studio Organizer.com retains title to the software and related documents, files, web sites, etc.The software, and any copies which this License authorizes you to make are subject to this License. 2. Permitted Uses and Restrictions. This License allows you to install this software at a SINGLE school location, or computer network at a SINGLE location. The user may also transfer a second copy of the software to a home computer by following the "Transferring Files" instructions in the built in Help. You may make copies of the Software for backup purposes only. The backup copies must include all copyright information contained on the original. Distribution or use of the same Registration Code at more than one location other than Transferring Files to a home computer is strictly prohibited, and doing so is considered a violation of this Software License. The Buyer may not transfer or assign the software license or Registration Code to a third party without written consent from the Studio Organizer.com. 3. Technical Support. Email Technical Support is free. Telephone support is not provided. Only the Studio Organizer is supported. Computer operating systems are EXPRESSLY not supported. Networking, bar code scanners, receipt printers, touch screen monitors, cash drawers, email software, use of the internet, and all other hardware and software are also not supported by the Studio Organizer.com. 4. Registration Code. Registered users will receive a Registration Code effective the date of purchase. If choosing to purchase the software with One Payment this includes One Year of software updates that can be downloaded free of charge from the web site. Each additional year of updates may be purchased at the rate stated in the Registration Code email. Purchasing additional annual updates is optional. The software will not expire. Older versions of the software can be used without updating. Purchasing additional updates is only necessary if the user wishes to use a version of the Studio Organizer released after the Registration Code expiration date. If choosing to purchase the software on a year to year basis (if offered) this includes One Year of software updates that can be downloaded free of charge from the web site. A new Registration Code must be purchased each year if the user wishes to continue to use the Studio Organizer. Neither party can rely on the this annual agreement being renewed each year. Submitting annual payments in a timely manner is the user's responsibility, and the Studio Organizer.com will not be held liable for any damages or interruption in access if the annual payment is not completed in a timely matter. If choosing to purchase the software on a month to month basis (if offered) this includes software updates that can be downloaded free of charge from the web site. A payment must be made each month if the user wishes to continue to use the Studio Organizer and a new Registration Code will be issued upon receipt of payment. Submitting monthly payments in a timely manner is the user's responsibility and the Studio Organizer.com will not be held liable for any damages or interruption in access if the monthly payment is not completed in a timely matter. Either party may terminate this agreement at it's sole discretion. Violation of the terms of this Software License may result in terminate. Neither party will be liable for damages or costs of any nature arising from termination. 5. Updates & Upgrades. Registered users with a valid, current Registration Code are eligible to receive software updates. Software updates can be downloaded with no download fee from the Studio Organizer.com web site. Updates are only valid for the Studio Organizer Version 5. Higher versions of the Studio Organizer -- if and when they become available -- are excluded. Upgrades to higher versions of the Studio Organizer or other products will be made available to registered users of the Studio Organizer 5 for a fee. 6. Violation. Any attempts to derive any goods or services without payment will be construed as a violation of this Software License. Demand for telephone support, which is not offered, is also considered a violation of this agreement. Distribution or use of the same Registration Code at more than one location other than Transferring Files to a home computer is strictly prohibited, and doing so is considered a violation of this Software License. In the event of violation of this Software License, the Studio Organizer.com reserves the right to electronically DISABLE all Registration Codes provided, terminate all forms of Technical Support, and access to future updates. Refunds are not provided. 7. Change of School Name and/or Address. As an anti-piracy measure, Registration Codes are based on the school name and address. If either your school name or address changes in the future, select Change School Information from the Help menu then complete, sign and mail the form. A new Registration Code will be emailed, and the old Registration Code will be disabled and electronically tracked. All changes are subject to verification and are issued at the sole discretion of the Studio Organizer.com. 8. Passwords & Access. The Studio Organizer contains passwords which can only be issued by the Studio Organizer.com. Passwords are subject to change at any time, registered users in good standing will be notified via email of changes to passwords. The Master password provided to registered users cannot be modified by the end user. The developers password is not available to any person, for any purpose. Access to core programming functionality has been stripped. Modification of the database files compromising the Studio Organizer is expressly forbidden, and the user shall not decompile, reverse engineer, disassemble, modify, distribute, create derivative works, copy, duplicate, reproduce, attempt to derive passwords, lease, rent, license or sublicense the software, or transfer or convey the software or any right in the software to anyone else. Your rights under this License will terminate automatically without notice from the Studio Organizer if you fail to comply with any term(s) of this License. 9. Sensitive Data. Your state or local government determines the legality of storing sensitive information, such as bank account and credit card data, in a computerized form. Users of the Studio Organizer assume ALL responsibility for the entry, storage, and safe keeping of such data. It is the users responsibility to abide by their governing laws and the Studio Organizer.com shall be held harmless for all data stored in the Software. 10. Networking and PDF Creation require an additional purchase. A fully functional copy of FileMaker Pro must be installed on each computer. 11. Limited Warranty on Media. the Studio Organizer CANNOT GUARANTEE, NOR DOES IT IMPLY, THAT FILES WILL TRANSFER ERROR-FREE OVER THE INTERNET. THE STUDIO ORGANIZER ASSUMES NO LIABILITY OR RESPONSIBILITY FOR THE SUCCESSFUL TRANSFER OF FILES. THE STUDIO ORGANIZER WILL HAVE NO RESPONSIBILITY TO REPLACE OR PROVIDE FILES FOR DOWNLOAD IF THE USER DOES NOT HAVE ACCESS TO THE INTERNET. 12. Disclaimer of Warranty on Software. You expressly acknowledge and agree that use of the Software is at your sole risk. The Software is provided "AS IS" and REFUNDS ARE NOT PROVIDED for any reason. Please try the software free of charge for 30 days before purchasing. The software is provided without warranty of any kind and THE STUDIO ORGANIZER.COM EXPRESSLY DISCLAIMS ALL WARRANTIES AND/OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY OR SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE. THE STUDIO ORGANIZER DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. THE STUDIO ORGANIZER.COM IS UNDER NO OBLIGATION TO PROVIDE UPDATES, ENHANCEMENTS OR CORRRECTIONS OR TO PUBLICLY ANNOUNCE PRODUCT CHANGES. FURTHERMORE, THE STUDIO ORGANIZER.COM DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE OR RELATED DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE STUDIO ORGANIZER.COM OR AN AUTHORIZED THE STUDIO ORGANIZER.COM REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. SHOULD THE COMPUTER USED TO OPERATE THE SOFTWARE PROVE DEFECTIVE, REQUIRE MAINTENANCE, SERVICE, OR INSPECTION, YOU AND NOT THE STUDIO ORGANIZER.COM ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, TRAINING OR CORRECTION. 13. Limitation of Liability. UNDER NO CIRCUMSTANCES. INCLUDING NEGLIGENCE, SHALL THE STUDIO ORGANIZER.COM BE LIABLE FOR, AND SHALL NOT PAY, ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON CONTRACT OR TORT OR ANY OTHER LEGAL THEORY, ARISING OUT OF ANY USE OF THE SOFTWARE OR ANY PERFORMANCE OF THIS AGREEMENT, EVEN IF THE STUDIO ORGANIZER.COM HAS KNOWLEDGE OF THE POSSIBILITY OF SUCH LOSSES. IN NO EVENT SHALL THE STUDIO ORGANIZER.COM'S LIABILITY FOR DAMAGES, LOSSES, ETC. EXCEED THE ONE YEAR ANNUAL FEE PAID BY THE BUYER. 14. Controlling Law and Severability. This License shall he governed by the laws of the United States and the State of ARIZONA. If for any reason a court of competent jurisdiction finds any provision or portion thereof, to be unenforceable, THAT PROVISION OF THE LICENSE SHALL BE ENFORCED TO THE MAXIMUM EXTENT PERMISSIBLE SO AS TO EFFECT THE INTENT OF THE STUDIO ORGANIZER.COM, and the remainder of this License shall continue in full force and effect. The Studio Organizer.com's failure or delay in exercising any of its' rights  does not constitute a waiver of said rights. 15. Export Law Assurances. You agree and certify that neither the Software nor any other technical data received from the Studio Organizer.com, nor the direct product thereof, will be exported outside the United States except as authorized and as permitted by the laws and regulations of the United States. 16. Termination. This License is effective until terminated. You may terminate this License at any time by removing all the Studio Organizer files from your computer and destroying the Software and related documentation and all copies thereof. This License will terminate immediately without notice from the Studio Organizer if you fail to comply with any provision of this License. Upon termination you must remove all the Studio Organizer files from your computer and destroy the Software and related documentation and all copies thereof. Upon termination, the end user will no longer be eligible to receive technical support or access to ANY future updates. In such a case, the Registration Code of a terminated user will be DISABLED. 17. Right of Refusal. The Studio Organizer.com reserves the right, at it's sole discretion, to refuse the sale and/or support of the Studio Organizer to any person or organization for any reason. The Studio Organizer.com also reserves the right to respond to only pre-formatted Technical Support inquires created using the Support button. 18. Third Party Software. The following is required per 24U's Software Licensing Agreement: Sublicensed technologies. The Software includes add-on products ("Additions"): SimpleDialog plug in, SimpleFile plug in, and SimpleSound plug in from 24U Software which are utilized within the Software. The Additions are licensed, not sold, to you and titles to them remain with their respective owners. If you want to use the Additions outside the Software you must obtain a valid license from their respective owners. Limited Warranty. The Software and the Additions are provided "AS ARE" and without warranty of any kind. The Studio Organizer.com and the Additions owners expressly disclaim all other warranties, expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Under no circumstances shall neither the Studio Organizer.com nor the Additions owners be liable for any incidental, special, or consequential damages that result from the use or inability to use the Software or the Additions, even if the Studio Organizer.com or any of the Additions owners has been advised of the possibility of such damages. In no event shall the Studio Organizer.com's liability exceed the purchase price of the Studio Organizer. 19. Complete Agreement. This License and the Terms of Agreement constitutes the entire agreement between the parties with respect to the use of the Software and terminates and supersedes all prior or contemporaneous understandings, licenses or agreements, WRITTEN OR ORAL, regarding such subject matter. No amendment to or modifications of this License will be binding. The Buyer understands and agrees the purchase of the Studio Organizer software does not constitute a legal partnership or agency relationship. The English language version of this Software License controls interpretation of this agreement. Technical Support Technical Support is provided only to accounts in good standing exclusively for the Studio Organizer. FREE technical support is only available via email or the web site. Telephone support is not provided. Only the Studio Organizer is supported. Questions regarding your operating system, network, viruses, the Internet, web browsers, downloading, email, attachments, compressing files, telecommunications, faxing, backing up or restoring software, printers, transferring, copying or renaming files, third party software and any other hardware and/or software are outside of the Studio Organizer area of expertise and responsibility. Please contact the vendor of the product or your computer consultant for assistance with all other products. File recovery services are provided at the rate of $2 per minute, $20 minimum. THE STUDIO ORGANIZER.COM CANNOT GUARANTEE, NOR DOES IT IMPLY, THAT DOWNLOADS, EMAILS OR FILE ATTACHMENTS WILL BE RECEIVED AND/OR TRANSFERRED ERROR-FREE OVER THE INTERNET. THE STUDIO ORGANIZER.COM ASSUMES NO LIABILITY OR RESPONSIBILITY FOR THE SUCCESSFUL RECEIPT OF EMAIL OR TRANSFER OF FILES IN ANY FASHION. User's Responsibility Please try the software free for 30 days before purchasing. All sales are final. Refunds are not provided. Installing the software indicates acceptance of the Software License as well as these Terms of Agreement. If you do not accept the Software License or Terms of Agreement, installation and use of the Studio Organizer is prohibited. Proper computer use and maintenance is the user's responsibility. It is the user's responsibility to be sure that their software and hardware is properly installed, operated and maintained. The user assumes responsibility for training and proper use of their computer system, including understanding and using the operating system to perform basic tasks such as copying, opening and renaming files. Use and training regarding the operating system is outside the area of expertise of the Studio Organizer and is the responsibility of the user. Please contact Microsoft, Apple or your local computer expert to assist with use of your operating system, network, and any other hardware or software. It is also the user's responsibility to periodically check the condition of their computer, hard drive, operating system, and any and all other software or hardware and to make the necessary adjustments to insure proper performance. The installation and maintenance of this software is beyond the Studio Organizer.com's control. The Studio Organizer.com cannot be responsible for the installation, maintenance or use of this software. Regular maintenance ensures that a quality product will consistently perform as it is designed to perform. Computer hardware, software and accessories should be routinely inspected by a professional technician. The Studio Organizer is not responsible for problems associated with neglected products. It is important that a backup routine is established and used daily to archive your data. The Studio Organizer does not provide backup archiving, technical support for backing up, and is not responsible for backing up or restoring the user's data. It is the user's responsibility to: Read and follow all instructions carefully. Properly install the software. Train staff. Operate the computer properly. Perform regular computer maintenance. Implement a regular backup routine. Hire a computer expert to assist with any of the above.
